On 23 June 2025, Eric Chow & Co. in Association with Commerce & Finance Law Offices (“Tongshang Hong Kong”), together with our PRC office, Commerce & Finance Law Offices (“Tongshang”), jointly represented Bayzed Health Group Inc. (“Bayzed Health,” Stock Code: 02609.HK) in its listing and global offering on the Main Board of the Hong Kong Stock Exchange. Tongshang Hong Kong also acted as the drafting counsel in this IPO. The offering has raised approximately HK$561.7 million. CMB International Capital Limited acted as the sole sponsor for this listing.

Bayzed Health is a leading oncology healthcare group primarily engaged in investing in and providing medical and healthcare services in the PRC. In 2023, the group was recognized as one of the “Top 100 Autumn GAHA Hospital Competitiveness Medical Institutions” among hospital groups established by social capital.

The Tongshang Hong Kong team, which also acted as drafting counsel for this IPO, was led by Managing Partner Eric Chow and Partner Brandon Chow, Counsels Jessie Cheung and Kevin Tian, Senior Legal Manager Laura Zhang and Legal Manager Ziwei Qiu.

His pioneering role multiple award-winning IPOs including the first De-SPAC merger and its subsequent listing in Hong Kong positions him as a go-to advisor for issuers and underwriters navigating complex cross-border transactions.

Kung-Wei has extensive experience in advising issuers in new energy, biotech, TMT, financial institutions, healthcare, hospitals, energy, new retailing, consumer products and other sectors on their capital market transactions, and he is qualified in Hong Kong, New York, and Taiwan. Prior to A&O Shearman, he spent about ten years at Sullivan & Cromwell (New York/Hong Kong), advising on high-profile listings and debt issuances.

Frank brings over a decade of experience in advising financial institutions and asset managers in the structuring and formation of various types of private equity funds, including blind pool, leveraged buyout, venture capital, infrastructure, real estate, and project funds. He is also experienced in the structuring and formation of hedge funds, credit funds and corporate funds. In addition, Frank has extensive experience in representing sovereign wealth funds and institutional investors on their investments into various types of private funds.
Prior to joining Tongshang Hong Kong, Frank was a senior lawyer at A&O Shearman Hong Kong, where he acted for major fund sponsors, sovereign wealth funds as well as institutional investors. Frank is dual-qualified in Hong Kong and Massachusetts, U.S.A.

She spent five years at Skadden, Arps, Slate, Meagher & Flom LLP , where she led the Hong Kong compliance team and provided strategies and solutions for her clients to stay up to date with the legal and regulatory development. Prior to that, Joanne worked for more than 4 years at Sidley Austin in the Corporate Finance Group.
