Jay Tai is a senior associate of Eric Chow & Co. in association with Commerce and Finance Law Offices.
Jay’s practice focuses on mergers and acquisitions (M&A), post-listing compliance in Hong Kong (including the Listing Rules and the Takeovers Code), Hong Kong and offshore (Cayman Islands and British Virgin Islands) private equity funds, syndicated and bilateral lending, private debt financing, and regulatory compliance for Hong Kong SFC-licensed corporations.
Jay regularly delivers tailored trainings for directors of Hong Kong listed companies, focusing on securities law, the Listing Rules, and AML/anti-corruption compliance. He also advises clients on regulatory and compliance matters involving money lenders, payment systems, and virtual assets.
Prior to joining Eric Chow & Co. in association with Commerce and Finance Law Offices, Jay worked in several leading law firms in Hong Kong.

Corporate M&A and Securities Law Compliance
Represented a Hong Kong Main Board listed company subject to a winding-up petition in handling its syndicated loan restructuring. - Represented a state-owned asset management group in providing financing through a structured, multi-tier Cayman Segregated Portfolio Company Segregated Portfolio Company (SPC) investment structure.
- Represented the controlling shareholder of a Hong Kong Main Board listed company in securing financing through the issuance of equity swap contracts.
- Represented a technology startup in completing a comprehensive debt restructuring involving over 100 creditors and shareholders through the issuance of exchangeable and convertible bonds.
- Advised on numerous acquisition finance and loan facility transactions structured to fund the acquisition of controlling stakes in Hong Kong listed companies and the subsequent mandatory takeover offers.
- Represented a domestic private equity fund in investing in Hong Kong listed securities through the subscription of asset-linked notes.
- Represented an offshore bank in providing bilateral loan facilities secured by precious commodities.
- Represented a Hong Kong Main Board listed company in executing consent solicitations / amendments to the terms of its offshore US dollar-denominated bonds.
