Xia Wang (Jason) is a Senior Associate at Eric Chow & Co., in association with Commerce and Finance Law Offices.

Jason brings more than 20 years of experience in corporate law and corporate finance transactions. His practice covers a broad range of matters, including advising issuers and underwriters on public and private securities offerings in Hong Kong. He has also represented listed and private companies, as well as investors, in acquisitions, private M&A transactions, and other matters governed by the Hong Kong Listing Rules and the Takeovers Code.

In addition, Jason regularly advises Hong Kong-listed companies on post-listing regulatory compliance, corporate governance, and related legal and regulatory matters. His expertise also extends to a wide spectrum of general corporate and commercial legal issues.

Before joining Eric Chow & Co. in association with Commerce and Finance Law Offices, Jason was a partner at Mayer Brown.

Listing/Issuance

• Represented Redsun Properties Group Limited, a leading property developer in Jiangsu Province on its US$234 million global offering and initial public offering (IPO) on the Main Board of the Hong Kong Stock Exchange.

• Represented Bank of Jiangxi Co., Ltd., the only provincial urban commercial bank in Jiangxi Province, China, on its global offering and IPO of H shares on the Main Board of the Hong Kong Stock Exchange.

• Represented SIIC Environment Holdings Ltd., a Singapore-listed company engaged in wastewater treatment, solid waste treatment, and other environment-related businesses, on its dual primary listing of common shares by way of introduction on the Main Board of the Hong Kong Stock Exchange. Credit Suisse acted as the sole sponsor for this transaction.

• Represented Bank of Gansu Co., Ltd., the only provincial urban commercial bank in Gansu Province, China, on its global offering and IPO of H shares on the Main Board of the Hong Kong Stock Exchange. CMB International, CCB International, Huatai Financial Holdings, Guotai Junan Capital, and BOC International Asia acted as joint sponsors.

• Represented Zhongyuan Bank Co., Ltd., the largest urban commercial bank in Henan Province, China, on its US$1.04 billion global offering and IPO of H shares on the Main Board of the Hong Kong Stock Exchange. CITIC CLSA, J.P. Morgan, CCB International, and CMB International acted as joint sponsors for this transaction.

• Represented Greentown Service Group Co. Ltd., a leading high-end residential property management service provider in China, on its US$180 million global offering and IPO on the Main Board of the Hong Kong Stock Exchange. BofA Merrill Lynch, BOC International Asia, Haitong International Securities, and Credit Suisse acted as underwriters for this transaction.

• Represented Ronshine China Holdings Limited, a leading property developer in Fujian Province, on its US$230 million global offering and IPO on the Main Board of the Hong Kong Stock Exchange. ICBC, GF Securities, Guotai Junan Securities, and Haitong International Securities acted as underwriters for this transaction.

• Represented China ZhongDi Dairy Holdings Company Limited on its US$60 million global offering and IPO on the Main Board of the Hong Kong Stock Exchange. Morgan Stanley, CMS, and Convoy Investment Services acted as underwriters for this transaction.

• Represented China Galaxy International, Nomura, CCB International, DBS Asia Capital Limited, BOCOM International, and ABCI Securities Company Limited, acting as sole sponsors and placing agents, advised LVGEM (China) Real Estate Investment Company Limited on its Very Substantial Acquisition (VSA), which involved a US$225 million reverse takeover and a new listing application for the restructured target group. In connection with the transaction, LVGEM also completed a top-up placement of 800 million new shares to institutional investors outside the United States.

• Represented Chanjet Information Technology Company Limited, a leading provider of software services for small and micro enterprises in China, on its listing on the Main Board of the Hong Kong Stock Exchange in 2014 as one of the few companies to execute an A-share spin-off listing.

• Represented Livzon Pharmaceutical Group Inc., an integrated Chinese pharmaceutical corporate group specializing in pharmaceutical R&D, development, production, and sales, in converting its USD 548 million B shares into H shares and listed its H shares on the Main Board of The Stock Exchange of Hong Kong Limited by way of introduction, with Guosen Securities acting as the sponsor.

• Represented China Vanke Co., Ltd., a leading professional residential developer in China, in converting its B shares with USD 2.1 billion into H shares and listed its H shares on the Main Board of The Stock Exchange of Hong Kong Limited by way of introduction. This transaction was named “Deal of the Year 2024” by China Business Law Journal.

• Represented China International Marine Containers (Group) Co., Ltd. (CIMC), a world-leading equipment and solution provider in the logistics and energy sectors, in completing the conversion of its US$1.8 billion B-shares to H-shares and the listing of its H-shares on the Main Board of the Hong Kong Stock Exchange by way of introduction in 2012.

• Represented China Huirong Financial Holdings Limited, a leading short-term secured financing service provider in China, on its US$106 million global offering and IPO on the Hong Kong Stock Exchange (advised legal counsel to the underwriter, UBS).

• Represented Chinalco Mining Corporation International, a subsidiary of state-owned aluminum producer Aluminum Corporation of China (Chinalco), on its US$398 million global offering and IPO on the Main Board of the Hong Kong Stock Exchange (advised legal counsel to the underwriters including Morgan Stanley, BNP Paribas, CICC, Standard Chartered, CCB International, and HSBC).

• Represented Huadian Fuxin Energy Corporation Limited, a leading diversified clean energy company in China, on its US$319 million global offering and IPO of H shares on the Main Board of the Hong Kong Stock Exchange (advised legal counsel to the Joint Global Coordinators CITIC Securities, UBS, BofA Merrill Lynch, and other underwriters including CLSA, BOCI, CCB International, ABCI, and Daiwa Capital Markets).

Mergers and Acquisitions

• China Fire Safety Enterprise Group Limited ("China Fire") (Stock Code: 445) acquired Pteris Global Limited from China International Marine Containers (Group) Co., Ltd. for approximately US$700 million, with consideration settled by China Fire via the issuance of new shares and convertible bonds. Under the Hong Kong Listing Rules, the transaction constituted a Very Substantial Acquisition and Connected Transaction for China Fire, requiring the approval of the Securities and Futures Commission and independent shareholders, as well as a Whitewash Waiver in respect of the transaction.
