Capital Markets

  • Advised a PRC biotechnology company committed to developing human vaccines and therapeutic biologics on its public offer of H-shares and initial public offering on the Main Board of The Stock Exchange of Hong Kong Limited with net proceeds of approximately HK$340 million.
  • Advised a PRC company principally engaged in postpartum care and healthcare services in the RPC and Hong Kong on the issuance of a HK$224.7 million convertible preference shares to the subscriber.
  • Advised a producer of tantalum- and niobium-based metallurgical products in China on its global offering and initial public offering on the Main Board of The Stock Exchange of Hong Kong Limited with net proceeds of approximately HK$130 million.
  • Advised a manufacturer and supplier of concrete-based building materials in China on its share offer and initial public offering on the Main Board of The Stock Exchange of Hong Kong Limited with net proceeds of approximately HK$240 million.
  • Advised a Hong Kong-based contractor which provided marine construction services on its public offer and initial public offering on the Main Board of The Stock Exchange of Hong Kong Limited with net proceeds of approximately HK$170 million.
  • Advised a China-based high-end all-media application solutions provider on its global offering and initial public offering on the Main Board of The Stock Exchange of Hong Kong Limited with net proceeds of approximately HK$220 million.
  • Advised a manufacturer of nutritional supplements and health food products on its global offering and initial public offering of H shares on the Main Board of The Stock Exchange of Hong Kong Limited with net proceeds of approximately HK$380 million.
  • Advised the sole sponsor on the share offer and initial public offering of a China-based vehicle finance leasing company on GEM of The Stock Exchange of Hong Kong Limited with net proceeds of approximately RMB34.4 million.

Merger & Acquisitions

  • Advised an online gaming company in connection with its acquisition of approximately 49% interest in a Hong Kong listed company at a consideration of approximately HK$147 million. The Hong Kong listed company was principally engaged in the mobile game development and digital media content distribution in the PRC.
  • Advised a market leader in the express and courier service market in China in connection with its acquisition of approximately 61.9% interest in a Hong Kong listed company at a consideration of approximately HK$1.04 billion. The Hong Kong listed company was principally engaged in international freight forwarding business.
  • Advised a Hong Kong listed company in connection with its acquisition of approximately 95% interest in a provider of automation and information-based systems for transportation applications at a consideration of approximately HK$1.05 billion. The Hong Kong listed company was a state-owned company which principally provided software and hardware systems for railways.
  • Advised a Hong Kong listed company (stock code: 3332) in connection with its acquisition of a dietary and well-being supplements manufacturer in New Zealand at a total consideration of approximately HK$140 million. The Hong Kong listed company was principally engaged in the sale of nutritional supplements and health food products.
