Capital Markets

  • Advised Beijing Luzhu Biotechnology Co., Ltd. (HKEx: 2480) in its HK$340 million global offering and IPO of H-shares on the Main Board of the Hong Kong Stock Exchange. Luzhu Biotech is a biotechnology company committed to developing innovative human vaccines and therapeutic biologics to prevent and control infectious diseases and treat cancer and autoimmune diseasesa.
  • Advised China Everbright Capital Limited as the sole sponsor and the underwriters on the HK$414 million global offering and IPO of Semk Holdings International Limited (2250.HK) on the Main Board of The Stock Exchange of Hong Kong Limited. Semk Holdings International Limited is the second largest domestic character IP company and ranked fifth among all character IP companies in China.
  • Advised Yangzhou Guangling District Taihe Rural Micro-finance Company Limited (1915.HK) in connection with its transfer of listing from GEM to the Main Board of The Stock Exchange of Hong Kong Limited.
  • Advised Guotai Junan Capital Limited as the sole sponsor on the HK$70 million global offering and IPO of Justin Allen Holdings Limited (1425.HK) on the Main Board of The Stock Exchange of Hong Kong Limited. Justin Allen Holdings Limited primarily engages in the business of OEM garment manufacturing specialising in the production of sleepwear and loungewear.
  • Advised a company dually listed in Hong Kong and the PRC on a syndicated term loan facility of more than USD500 million for financing its overseas acquisition.
  • Advised a leading investment bank in the PRC on its pre-IPO investment in a food & beverage enterprise in the PRC.

Mergers and Acquisitions

  • International Alliance Financial Leasing (1563.HK) in an acquisition of 70.00% of interests in Yantai Nanshan University, from Nanshan Holdings Co., Ltd. for a consideration of RMB 566 million, which constitutes an Extreme Transaction and a Connected Transaction under the Hong Kong Listing Rules.
