Connie Cheung is a Senior Consultant at Eric Chow & Co. in Association with Commerce & Finance Law Offices.
She has over 20 years of experience in corporate finance including advising listed companies, financial institutions, investment banks and private equity firms on equity capital markets transactions, M&A, takeovers, regulatory compliance and general corporate matters.
Connie specialises in advising listed companies on regulatory compliance, corporate governance and ongoing obligations under Hong Kong's securities and corporate law framework. She works closely with boards of directors and senior management on a wide range of corporate governance and compliance matters, including disclosure obligations, reporting and filing requirements, and compliance with the Hong Kong Listing Rules, the Securities and Futures Ordinance, the Takeovers Code and the Companies Ordinance. Her practice combines technical regulatory expertise with practical commercial insight, helping clients navigate increasingly complex compliance landscapes and maintain high standards of corporate governance. In addition, she conducts directors' training and provides regular updates on legal and regulatory developments to assist listed companies in meeting evolving market and compliance expectations.
Prior to joining Commerce & Finance Law Offices in association with Eric Chow & Co., Connie was the Head of Listed Companies Advisory at Freshfields where she served a portfolio of over 30 Hong Kong Main Board listed companies. Earlier in her career, she held positions with several well-established international law firms including MinterEllison LLP as a consultant and Jones Day as an associate. She also served as an in-house Legal Counsel at Daiwa Capital Markets Hong Kong Limited specialising in investment banking.
With extensive experience gained at premier international law firms and financial institutions, Connie possesses in-depth knowledge of the listing rules, corporate finance and capital markets transactions. Her practice combines technical legal expertise with a strong commercial perspective, enabling her to provide clients with pragmatic and commercially focused legal advice.

Complex Restructuring & Reverse Takeover
• Advised Productive Technologies Company Limited ((Stock Code: 0650) (formerly known as IDG Energy Investment Group Limited and Shun Cheong Holdings Limited) on its complex restructuring in the form of a reverse takeover and deemed new listing of a mineral company engaged in high risk, early-stage crude oil development business amidst volatile global crude oil prices. This deal was awarded "Deal of the Year 2016" by Asia Business Law Journal in 2017.
Takeovers
• Advised Golden Meditech Holdings Limited (Stock Code: 0801) on its capacity as the offeree in a voluntary conditional cash offer made by Magnum Opus 3 International Holdings Ltd to buy all the shares and convertible notes which are not already owned by the offeror and its concert parties. The maximum total consideration for the offer is up to approximately HK$2,515 million.
Convertible Bonds
• Represented listed companies including Vobile Group Limited (Stock Code: 3738), Hopson Development Holdings Limited (Stock Code: 754) and Golden Meditech Holdings Limited (Stock Code: 801) in convertible bond issuances.
Placing
• Represented Vobile Group Limited (Stock Code: 3738) in its placing of new shares raising approximately HK$513 million.
VSA and Connected Transaction
• Represented CITIC Resources Holdings Limited (Stock Code: 1205) in its acquisition of interest in a Kazakhstan company which engages in oil and oil related businesses at a consideration of US$1 billion.
Major Transaction
• Represented Vobile Group Limited (Stock Code: 3738) on its US$127m acquisition of 61.18% of the equity interest in Particle Technology Group.

Represented sponsors in the global offering of the following companies:

• Represented Golden Meditech Holdings Limited (Stock Code: 801) in its spin-off of China Cord Blood Services Corporation to The New York Stock Exchange by way of reverse merger with Pantheon China Acquisition Corp. which is a special purpose acquisition company with its securities quoted on the OTC Bulletin Board in the United States.
Regulatory Investigations & Enforcement
• Advised a listed company in relation to a HKEX investigation and a simultaneous SFC inquiry under the SFO concerning possible breaches of the Listing Rules.
SFC Licensing
• Advised a leading financial institution, as well as several securities and futures firms, on their successful applications to the SFC for licences to carry out regulated activities in Hong Kong.
